TERMS OF USE

1. INTRODUCTION

1.1 Welcome to SendGB SendGB OÜ ("SendGB," "we," "us," or "our") provides online services to facilitate the upload, storage, and transfer of files ("Services"). These Terms of Use ("Terms") govern your access to and use of our Services, accessible at https://www.sendgb.com (the "Website") and through any associated applications or platforms.

1.2 Your Agreement By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines referenced herein. If you do not agree, you are not authorized to use the Services.

1.3 Company Information SendGB OÜ is a company incorporated in Estonia, registered at Telliskivi tn 57, Põhja-Tallinna linnaosa, Harju maakond, 10412, Tallinn, Estonia. Registration number: 14869227.

1.4 Updates to These Terms We may modify these Terms at any time. We are not required to provide direct notification (such as email). You are responsible for regularly reviewing our Website for updates. Your ongoing use of the Services indicates acceptance of any changes.

2. DEFINITIONS

• "Account" means a user account created to access certain features of our Services.
• "Content" means any files, data, text, images, videos, or other materials that you upload, share, or provide through our Services.
• "Paid Services" refers to all subscription and one-time payment features, including SendGB Extend, SendGB Exceed, SendGB Extra, and SendGB Teams, as set forth in Section 4.
• "Team" means a shared workspace created with a SendGB Teams subscription. "Team Owner" is the user who purchased the SendGB Teams subscription, "Team Admin" is a Team Member to whom the Team Owner has given the admin role, and "Team Member" is any user invited to and part of a Team.
• "Free Service" refers to the free, basic file transfer service with limited features.
• "User," "You," or "Your" refers to any individual or legal entity accessing or using the Services.

3. ELIGIBILITY AND ACCOUNT CREATION

3.1 Eligibility You must be at least 18 years old (or the age of majority in your jurisdiction) and have legal capacity to enter binding contracts. If you act on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms.

3.2 Account Creation Certain features (such as subscription management) require an Account. You agree to:

• Provide accurate, current, and complete information.
• Update such information as necessary to keep it current.
• Maintain the security of your password and not share it.
• Accept responsibility for all activity under your Account.

4. DESCRIPTION OF SERVICES

SendGB provides free and paid plans with various upload size limits, file retention periods, and features. Visit our Website for current details: https://www.sendgb.com

4.1 SendGB Free (No Sign-Up Required)

• Transfer files up to 5 GB or as specified on the Website.
• Files are stored for up to 90 days, depending on file size. After this period, files are permanently deleted.

4.2 SendGB Extend (Paid Service)

• Extends file storage duration up to 1 year.
• Pay-per-use, no registration required unless otherwise specified.

4.3 SendGB Exceed (Paid Service)

• Send files up to 1 TB in a single transfer (plan-dependent).
• Various price tiers are available for various transfer size limits.

4.4 SendGB Extra (Paid Subscription)

• Annual or two-year subscription with enhanced features.
• Single transfer size limit up to 500 GB (varies by package).
• Renewal is described in Section 6.3.

4.5 SendGB Teams (Paid Subscription)

• Annual or two-year subscription for a shared workspace (a Team), with a single transfer size limit of up to 500 GB, 2 TB of storage shared by the whole Team, and up to 20 Team Members. See the Website for current details.
• Roles. The Team Owner purchases and manages the subscription and cannot be removed from the Team. Team ownership cannot be transferred to another user. The Team Owner and Team Admins can invite Team Members and remove them from the Team. The number of Team Members cannot exceed the seat limit of the plan.
• Accounts and Terms. Every Team Member needs an Account. By accepting an invitation, a Team Member agrees to these Terms.
• Privacy of files. Team Owners and Team Admins can see usage information, such as how much storage each Team Member uses, but cannot access the contents of other Team Members' files. Transfers belong to the Team Member who uploaded them; Team Members do not see each other's transfers by default.
• Personal transfers. Personal transfers are the transfers stored under your own account outside a Team, including those made under a SendGB Extra membership. When you buy SendGB Teams, you choose whether your existing personal transfers are moved into the Team (and counted against the Team's storage) or deleted. Deletion cannot be undone.
• Removing a Team Member. When a Team Member is removed, the Team Owner or Team Admin chooses whether that member's transfers are kept until they expire or are deleted immediately. A removed Team Member can be restored within 12 hours and, where possible, their transfers are restored as well.
• Responsibility. The Team Owner is responsible for the subscription and its payment. Section 7 applies to all Content uploaded by every Team Member. The Team Owner is also responsible for making sure that invited Team Members meet the eligibility requirements in Section 3.1.
• Renewal, refunds and expiry are described in Sections 6.3, 6.4 and 6.5.

5. FILE SIZE, STORAGE, AND TRANSFER LIMITS

5.1 File Size Limits

• Free Service: Up to 5 GB.
• SendGB Exceed: Up to 1 TB.
• SendGB Extra: Up to 500 GB per transfer (package-dependent).
• SendGB Teams: Up to 500 GB per transfer, with 2 TB of storage shared by the Team.

5.2 Storage Duration

• Free Service: Up to 90 days.
• SendGB Extend: Up to 1 year from upload date.
• SendGB Exceed, SendGB Extra & SendGB Teams: Retention periods vary—see plan details and, for expired memberships, Section 6.5.

5.3 Automatic Deletion When the applicable retention period ends, files are automatically and permanently deleted from our servers. Download links become invalid and files are not recoverable.

6. PAYMENT TERMS

6.1 Fees and Billing

• We accept various payment methods (e.g., credit card, PayPal) as indicated on our Website.
• Fees for SendGB Extra and SendGB Teams are payable in advance for your selected period.
• One-time fees for SendGB Extend and SendGB Exceed must be paid before service access.

6.2 Price Changes

• Fees and plan details may change at any time. Announcements will be posted on the Website. It is your responsibility to regularly check for changes. If you disagree with new fees, do not use or renew that Paid Service.

6.3 Automatic Renewal (SendGB Extra and SendGB Teams)

• SendGB Extra and SendGB Teams are annual or two-year memberships. If you pay with a card or another payment method that can be saved for recurring charges, your membership renews automatically at the end of each term for a term of the same length, unless you turn off automatic renewal in your dashboard (Subscriptions) before the term ends.
• If you pay with a method that cannot be reused, or have no saved method, the membership does not renew automatically; we email you before it expires and you can renew it from your dashboard.
• On renewal, the price in effect at the time of renewal applies. We send reminder emails before the renewal charge.
• If an automatic renewal payment fails, the membership may expire (see Section 6.5).

6.4 Refund Policy and Request Procedure

• For one-time purchase services such as SendGB Extend and SendGB Exceed: No refunds are available once the service has been used (i.e., files uploaded or the service otherwise commenced).
• For SendGB Extra and SendGB Teams (membership/subscription packages):
  • If a cancellation request for a SendGB Extra or SendGB Teams membership is made after 7 days from the payment date (starting from the 8th day), no refund will be provided.
  • However, you can cancel the automatic renewal for the next period by submitting a membership cancellation request from your SendGB Extra or SendGB Teams account.
• If your membership is terminated for violation of these Terms (including illegal or copyright-infringing activities), no refund will be provided at any time.

Refund Request Methods: Eligible users must initiate their refund request using one of the following methods:

(a) Via Email:

• Send an email to info@sendgb.com from the email address associated with your SendGB account.
• The email should include your full name, registered email address, order ID or transaction reference, and a detailed explanation for the refund request.

(b) Via Your SendGB Extra or SendGB Teams Account Dashboard:

• Log in to your SendGB account, go to the Account or Subscription section.
• Click on "Cancel Subscription" and complete the refund request form on that page.

6.5 Expiry and Deletion of Files (SendGB Extra and SendGB Teams)

• If a membership is not renewed, or an automatic renewal payment fails, you have a grace period of 14 days after the end of the paid term in which you can still renew. During this period we may retry the payment and send you emails.
• If the membership has not been renewed by the end of the grace period, it is cancelled, and the files stored under it are deleted and their download links stop working. For SendGB Teams, this applies to the files of the whole Team. Deleted files cannot be recovered.

7. USER CONTENT AND RESPONSIBILITIES

7.1 Ownership You retain all rights and ownership in the Content you upload. SendGB does not claim ownership of your files.

7.2 License to SendGB By uploading Content, you grant SendGB a limited license to store, process, and transfer your Content as necessary to operate the Services.

7.3 Content Restrictions You agree NOT to upload, post, or transfer any Content that:

• Violates any law or regulation;
• Is hateful, abusive, defamatory, pornographic, or otherwise objectionable;
• Contains child sexual abuse material or exploits minors;
• Encourages or incites criminal conduct;
• Infringes third-party intellectual property rights;
• Contains viruses, malware, or other harmful code.

7.4 Prohibition of Illegal or Copyright-Infringing Content for SendGB Extra and SendGB Teams Subscribers If we determine that you have used the Services for illegal or copyright-infringing activities (for SendGB Teams, including by any Team Member), your subscription may be terminated immediately without warning and no refunds will be given.

7.5 AI and Data Usage SendGB does NOT use, analyze, or process user-uploaded data for purposes of AI or machine learning.

7.6 Indemnification You agree to defend, indemnify, and hold harmless SendGB and its affiliates from any claims or damages arising from:

• Your Content or use of the Services;
• Your violation of these Terms;
• Your violation of third-party rights.

8. NO AI TRAINING ON USER DATA

As specified above, SendGB does not use user Content for artificial intelligence or machine learning training purposes.

9. DATA PROTECTION AND PRIVACY

9.1 Privacy Policy Use of the Services is also governed by our Privacy Policy. By using the Services, you confirm that you have reviewed and understand our Privacy Policy.

9.2 Data Retention We store Content for the periods indicated by your plan. After the retention period, your files are permanently deleted from our servers.

9.3 Service Communications By using the Services, you acknowledge and agree that SendGB will send electronic communications necessary for the provision of the Services to the email address you provide as a sender and to the email addresses of the recipients you designate. Such communications include, without limitation, transfer notifications, download links, download confirmations, expiry reminders, security alerts, and account, billing and policy notices ("Service Communications"). Service Communications form an integral part of the Services and cannot be opted out of for as long as you continue to use the Services.

9.4 Marketing Communications to Users Subject to applicable law, SendGB may use the email address you provide when using the Services to send you newsletters, product updates, promotional offers and other information about SendGB's own products and services that are similar to those you have used ("Marketing Communications"). You will be given a clear and simple opportunity to object to such use, free of charge, at the time your email address is collected and in every Marketing Communication thereafter, by using the "unsubscribe" link contained therein or by contacting us at info@sendgb.com. Where applicable law requires your prior consent, SendGB will send Marketing Communications only after obtaining such consent separately from your acceptance of these Terms. Objecting to or opting out of Marketing Communications will not affect your access to or use of the Services.

9.5 Recipient Email Addresses SendGB processes the email addresses of recipients designated by you solely for the purpose of delivering the relevant transfer and associated Service Communications. SendGB will not send Marketing Communications to recipients unless a recipient has independently provided their consent to receive them. By entering a recipient's email address, you represent and warrant that you are entitled to provide such email address to SendGB for the purpose of delivering the transfer, and that its provision does not violate any applicable law or third-party rights.

10. SERVICE AVAILABILITY AND MAINTENANCE

10.1 Best Efforts and Downtime We strive for continuous availability but do not guarantee uninterrupted or error-free service. Maintenance (planned or emergency) may occur without notice.

10.2 Modifications and Updates We may modify or discontinue features at any time. We are not liable to you or any third party for any changes or discontinuations of any part of the Services.

11. DISCLAIMER OF WARRANTIES

11.1 "AS IS" Basis The Services are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose. This does not limit any mandatory rights you have as a consumer under applicable law.

11.2 Third-Party Links and Content We are not responsible for third-party websites or resources linked within our Services.

12. LIMITATION OF LIABILITY

12.1 Exclusion of Certain Damages To the maximum extent permitted by law, SendGB shall not be liable for indirect, incidental, or consequential damages, including loss of data or profits.

12.2 Liability Cap To the extent permitted by law, SendGB's total liability for any claims relating to these Terms or the Services will not exceed the amount you paid for the relevant Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability for intent, gross negligence, or any liability that cannot be excluded or limited by law.

13. TERM AND TERMINATION

13.1 Term These Terms apply so long as you use or access the Services.

13.2 Termination by User You may stop using the Services at any time. If you have a Paid Service, cancellation is handled as set out in Section 6.4.

13.3 Termination by SendGB We may suspend or terminate your access if you:

• Breach these Terms,
• We suspect fraudulent or abusive activity,
• We discontinue the Services (with reasonable notice when feasible).

13.4 Effects of Termination Upon termination, your right to use the Services ceases immediately. Subject to Section 6.5, we may delete your files and account data.

14. INTELLECTUAL PROPERTY RIGHTS

14.1 SendGB's Intellectual Property SendGB and its licensors retain all rights, title, and interest in the Services (excluding Your Content). You may not copy, distribute, modify, or reverse-engineer any part of the Services.

15. INTERNATIONAL USE

15.1 Compliance with Laws You are responsible for ensuring your compliance with local laws, including export controls, data protection, and privacy regulations.

15.2 Geographical Restrictions We do not guarantee that Services are available or appropriate outside Estonia or the European Economic Area.

16. GOVERNING LAW AND DISPUTE RESOLUTION

16.1 Governing Law These Terms shall be governed by the laws of Estonia, without regard to conflict-of-law rules.

16.2 Dispute Resolution The parties shall attempt to resolve any disputes amicably. If unresolved, disputes shall be subject to the competent courts of Estonia, unless otherwise required by mandatory local law.

17. MISCELLANEOUS

17.1 Entire Agreement These Terms, the Privacy Policy and the plan details shown at the time of purchase constitute the entire agreement between you and SendGB.

17.2 Waiver Failure to enforce any right under these Terms does not constitute a waiver by SendGB.

17.3 Severability If any provision is deemed invalid, the remaining provisions remain in effect.

17.4 Assignment We may assign these Terms in the context of a merger, acquisition, or by operation of law.

17.5 Force Majeure Neither party shall be liable for delay or failure due to causes beyond reasonable control, such as acts of God, wars, or government actions.
